THIS AGREEMENT CONTAINS A MANDATORY LIMITATION OF LIABILITY CLAUSE AND A WAIVER OF CLASS ACTION RIGHTS. PLEASE READ THIS DOCUMENT IN FULL BEFORE USING ISHTAR HEALTH'S SERVICES.

These Terms of Service ("Terms") govern your access to and use of the platform, programs, products, events, content, and services provided by ISHTAR HEALTH PTE. LTD. ("Ishtar Health," "we," "us," "our"). By accessing or using any part of our website, platform, coaching, or educational services ("Services"), you agree to be legally bound by these Terms.

If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity. If you do not agree, do not use the Services.

1. Use of Services

1.1 Eligibility

You must be at least 18 years old or have parental/legal guardian consent to use the Services.

1.2 Account Responsibility

You are responsible for the accuracy of your registration information and for safeguarding your account credentials.

1.3 Lawful Use

You agree not to use the Services for any unlawful or prohibited purpose or in violation of applicable laws and regulations, including Singapore law.

2. Health and Safety Disclaimer

2.1 Not Medical Advice

All programs and content are for educational and informational purposes only and are not intended to replace medical advice, diagnosis, or treatment.

2.2 Assumption of Risk

You understand and agree that participation in physical activities carries inherent risks. You voluntarily assume these risks and release Ishtar Health from any liability.

3. Payment Terms

3.1 Fees and Billing

All fees must be paid in the currency indicated at checkout. We reserve the right to change pricing at any time.

3.2 Subscriptions

Recurring subscription Services will be billed automatically unless canceled before the renewal date.

3.3 Refund Policy

All purchases are non-refundable unless otherwise stated in writing. Specific refund policies may apply for live events, coaching sessions, or challenges and will be listed on the respective sales or sign-up pages.

3.4 Late or Failed Payments

Failure to pay may result in the suspension or termination of your access to the Services.

4. Intellectual Property

4.1 Ownership

All content, training materials, videos, methodologies (including BAT), guides, logos, and branding are owned by Ishtar Health and protected under Singapore and international copyright and trademark laws.

4.2 License Restrictions

You may not use, distribute, reproduce, or alter any Ishtar Health content without written consent.

5. Privacy & Data

5.1 Compliance with PDPA

Ishtar Health complies with Singapore's Personal Data Protection Act 2012 (PDPA). Please refer to our Privacy Policy for full details.

5.2 Third-Party Tools

You acknowledge that some Services may be delivered via third-party tools. By using the Services, you consent to data processing by such providers as necessary.

6. Disclaimers & Limitations

6.1 No Guarantees

We make no guarantees about your performance, results, health outcomes, or earnings from using the Services.

6.2 Limitation of Liability

To the fullest extent permitted by law, Ishtar Health shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount paid by you for Services in the prior three (3) months.

7. User Conduct

You agree not to:

・Share or distribute program content without permission

・Misrepresent your affiliation with Ishtar Health

・Use our community or chat features to promote outside services without authorization

・Infringe on any IP rights or violate community guidelines

8. Termination

We reserve the right to suspend or terminate your access without notice if you violate these Terms. Termination does not entitle you to any refund unless explicitly stated.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the Republic of Singapore.

9.2 Jurisdiction

Any disputes will be resolved exclusively in the courts of Singapore.

10. Client Waiver

By registering for or participating in any Services, you acknowledge that:

・Your participation is voluntary and at your own risk.

・You waive any claims against Ishtar Health for injuries, losses, or damages.

・You consent to the recording and use of photos or videos taken during live events, online sessions, or submissions for marketing purposes.

11. Product Licensing & Use

All digital products, downloads, or coaching materials are licensed for individual, non-commercial use only. You may not:

・Resell or distribute any Ishtar Health materials

・Upload content to public platforms or file-sharing services

・Rebrand our materials or represent them as your own

Violation of these terms may result in legal action and permanent revocation of access.

12. Affiliate Terms

If you participate in our affiliate programs (if offered), additional terms apply. Affiliates must comply with marketing guidelines and may not misrepresent the brand. Commission eligibility and payouts are subject to review and final approval by Ishtar Health.

13. Event and Challenge Policy

For in-person events, monthly challenges, and coaching calls:

・Seats or access may be limited

・Participation requires timely registration

・We reserve the right to cancel or reschedule due to low enrollment or force majeure

・Any deposit or fee is subject to the stated refund policy for that event

14. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website and effective immediately upon posting.
